Volution to acquire AC Industries in Australia

Financial Times Stock Exchange (FTSE) 250–listed Volution Group plc (LSE:FAN) is a leading international designer and manufacturer of energy-efficient indoor air quality solutions.

Volution has signed an agreement to acquire AC Industries (ACI), a specialist designer and manufacturer of ducting solutions for ventilation in underground mines.

ACI is a market leader in Australia with growing international reach, serving more than 150 mines across 15 countries.

Volution engaged BDO’s Deal Advisory and Tax teams, led by Greg Ellis and David Blake, to provide financial and tax due diligence and structuring on the transaction.

The transaction is valued at up to AUD $178.9 million, comprising of AUD $150 million on completion and up to AUD $28.9 million in consideration linked to EBITDA performance. ACI will report into Volution’s Australasian region.

This acquisition follows Volution’s acquisition of the Fantech Group in Australasia late last year, on which BDO also advised.
