Key learnings
- Distressed scenarios can deliver strong outcomes when stabilisation, communication, and value preservation are prioritised
- Receivership can unlock sale pathways otherwise restricted by shareholder agreements or structural constraints.
BDO was engaged in the receivership of a Nature’s Care pharmaceutical manufacturing business, following a breakdown in shareholder relations and the expiry of significant debt facilities. The shareholder agreement restricted the sale of all shares, making a solvent sale process unviable and triggering the need for an insolvency-led restructuring.
The engagement was initiated to regain control, stabilise operations, and prepare the business for sale under distressed conditions.
We provided business restructuring services, including:
- Receivership and business stabilisation
- Financial and operational review
- Cashflow management
- Global M&A process coordination
- Sell-side financial and tax due diligence
- Business recovery and turnaround advisory.
Strategy and restructuring path
Our approach included implementing a multi-phase restructuring strategy:
- Appointing receivers to holding companies to establish governance control
- Stabilising measures including key management changes, cashflow oversight, and enhanced reporting
- Appointing a global investment bank to lead the international M&A process
- Supporting the transaction via sell-side financial and tax due diligence
- Collaborating with the sale adviser, legal counsel, and senior secured lenders to ensure alignment and transparency.
Outcome
The restructuring and sale process resulted in:
- Successful sale of the operating companies
- Lenders repaid in full
- All employees retained, preserving jobs and operational continuity
- Unsecured and statutory creditors paid in the ordinary course of business.
